10. 技术资料:technical documents:

11.装运通知:shipping advice:

货物全部装仓后, 卖方应立即将合同编号、商品名称、数量、毛重、发票金额、快递公司名称及快递单号通知买方。

immediately the goods are completely loaded, the seller shall cable to notify the buyers of the contract number, name of commodity, quantity, gross weight, invoiced value, name of the express company and the number of the express.

12. 交货延迟: delay delivery:

如果出现延迟交货，卖方应按照每延迟一天支付合同金额的1‰的标准向买方支付罚金。但此罚金不得超过迟交货物总价的 5% ；如果该延迟达到三十天，并且买方未给予宽限期限，则买方有权利撤销该合同,卖方需支付合同金额的3%作为罚金,并在三个工作日内全额退款。

14. 检验和索赔 claims:

15. 索赔解决办法: settlement of claims:

如货物不符合本合同规定应由卖方负责;同时如买方按照本合同第14条、第13条的规定在索赔期限或质量保证期内提出索赔,卖方在取得买方同意后,应按下列方式之一理赔:

in case the seller are liable for the discrepancies and a claim is made by the buyers within the period of claim or quality guarantee period as stipulated in articles 14 and article 13 of this contract, the seller shall settle the claim upon the agreement of the buyers in one of the following ways:

a.同意买方退货,并将退货金额以成交原币偿还买方,并负担因退货而发生的一切费用,包括运费,保险费,商检费,仓租,码头装卸费以及为保管退货而发生的一切其它必要费用。

a. agree to the rejection of the goods and refund to the buyers the value of the goods so rejected in the same currency as contracted herein, and to bear all expenses in connection therewith including freight, insurance premium, inspection charges, storage, stevedore charges and all other, necessary expenses required for the custody and protection of the rejected goods.

b. 按照货物的疵劣程度,损坏的范围,将货物贬值。

16. 不可抗力事故 force majeure:

由于不可抗力原因，如战争、火灾、水灾、台风、地震或未能取得政府许可等发生在货物制造或运输过程中，导致卖方交货迟延或不能交货时卖方不承担责任。但卖方应在事故后的十四天内通知买方，并将事故发生地政府主管机关出具的事故证明书用空邮寄交买方，并取得买方认可。在上述情况下卖方仍应采取一切必要措施尽快交货。如果该事故持续超过五周以上时买方将有权撤销本合同。

the seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to force majeure such as war, serious fire, flood, typhoon, earthquake or failure of obtaining government approval(s) which might occur during the process of manufacturing or in the course of loading or transit. the seller shall advise the buyer of the occurrence mentioned above and within fourteen (14) days thereafter, the seller shall send by airmail to the buyer for their acceptance a certificate of the accident issued by the competent government authorities where the

accident occurs as evidence thereof. under such circumstances the seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. in case the accident lasts for more than five (5) weeks, the buyer shall have the right to cancel the contract.

17. 仲裁 arbitration:

凡因执行本合同所发生的或与本合同有关的一切争议，应由双方通过友好协商予以解决。如果协商不能解决，应提交中国国际经济贸易仲裁委员会根据中国国际经济贸易仲裁规则在上海进行仲裁。该仲裁委员会作出的裁决是最终的，买卖双方均受其约束。

all dispute in connection with this contract or the execution thereof shall be settled through friendly negotiation. in case no settlement can be reached, the case may then be submitted to shanghai international economic and trade arbitration commissio for arbitration which shall be conducted in accordance with the cietac's arbitration rules in effect at the time of applying for arbitration. the arbitral award is final and binding upon both parties.

18. 特别条款 special provisions:

(15) 装运通知:shipping advice:

the sellers shall fax to the buyer the readiness notification one week before the goods to be shipped.

the sellers shall, immediately upon the completion of the loading of the goods in 24 hours, send the buyers air waybill, invoice and packing list by fax.

装运通知:卖方应在货物装运完毕后24小时内用传真将空运单、发票和装箱单发给买方。

如卖方未按时向买方通知上述装运情况所导致损失由卖方承担。

losses shall be borne by the sellers in case the sellers donsquo;t inform the buyers of the above shipping status on time.

(16) 质量保证:guarantee of quality:

卖方保证订货系用最上等的材料和头等工艺制成，全新的，未曾使用过的, 并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下，自安装之日起十二个月或货物装运之日起十五个月内运转良好，以先到期者为准。由于人为造成的、易损易磨件除外。

the sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. faults due to mal-operation as well as wear and tear parts are excluded.

(17) 迟交货及罚款:late delivery and penalty

除合同第16条人力不可抗拒事故外，如卖方不能按合同规定的时间交货，买方应同意卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每7天收0.5%，不足7天时以7天计算。但罚款不得超过迟交货物总价的5%。如卖方延期交货超过合同规定10周时，买方有权撤消合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。

买方有权对因此遭受的其它损失向卖方提出索赔。

should the sellers fail to make delivery on time as stipulated in the contract, with the exception of force major causes specified in clause 16 of this contract, the buyers shall agree to postpone the delivery on condition that the sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. the penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. in case the sellers fail to make delivery ten weeks later than the time of shipment stipulated in the contract, the buyers shall have the right to cancel the contract and the sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the buyers without delay. the buyer shall have the right to lodge a claim against the seller for the losses sustained if any.

(18) 检验和索赔: inspection and claims:

如发现货物的品质、数量/重量与本合同不符, 买方有权在货物到达目的地后60天内根据中华人民共和国出入境检验检疫局出具的商检证书向卖方提出索赔。由承运人和保险公司负责的赔偿除外。

if the quality and/or quantity/weight be found not in conformity with the present contract, the buyer shall be entitled to lodge claims with the seller on the basis of the certificate issued by china exit and entrance inspection and quarantine bureau within 60 days after the goods arrival in the destination. with the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.

(19) 人力不可抗拒事故:force majeure:

由于人力不可抗拒事故，而卖方交货延迟或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出给的事故证明书用空邮寄交买方为证，并取得买方认可。在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期买方有权撤销本合同。

第一条合同标的和价格

第四条包装

卖方应在包装货物时采取所有预防措施以保证货物在储存、海运、陆运、吊装时完好无损。

第五条商品的品质和保证

所供商品的品质应由品质证明书加以确认，该证书确认商品品质符合生产国的技术条件和国家标准。

所供商品的品质性能应与标准样品相一致，标准样品在签定合同时交给买方，在保证期内留存买方并在对供货品质发生争议的情况下供双方使用。

保证期为供货后9个月。

第六条索赔

购方可按________________(两国贸易文件或协定)所规定的期限和程序在下列方面提出索赔。

1.货物的数量

如货物数量与明细单注明的数量不符，在包装完整和没有外部损伤(内部短缺)的情况下，购方有权凭检验证书提出索赔。

如果货物的发运系按发货人确定的重量发出，而国境交接站双方铁路交接中发现不足，并不属铁路方面的过失，可根据双方铁路方面编制的商务记录提出索赔。

2.货物的质量

如货物品质与合同规定不符时，可根据商品检证或无利害关系的权威机关的代表参与制成的记录提出异议。

如售方所供货物的品质，不符合合同规定的技术条件或与双方确认的.样品不符时，购方有权要求售方或者削价、或者更换货物。如果售方自收到异议之日起60天内不作最后决定，或不同意检验证书中确定的削价百分比时，则购方有权将品质不合格的货物按售方提供的地址退给售方。售方应在本合同规定的异议审理期限内将退货地址通知购方。

如果在每批货物中发现残次品占20%以上，收货人则将退回全部货物。由于质量原因退回货物时所产生的全部费用由售方承担。

在这种情况下，售方没有免除向购方补发数量相同并符合合同规定的货物责任。

在终点站检验货物的数量和/或质量所需要的一切费用由购方承担。

第七条不可抗力条款

由于发生不可抗力情况，而直接影响本合同的履行时，售方对本合同受不可抗力影响的部分义务或全部义务无法履行的责任不予承担。经双方协商，履行本合同义务的期限也可相应推迟。发生不可抗力情况一方应自灾情结束之日起10日内将有关发生不可抗力的性质、毁坏程度及影响合同履行的情况书面通知对方。如对方有异议，发生不可抗力情况一方凭其所在国有权机关的认证书豁免责任。

第八条仲裁

由本合同所产生或与本合同有关的一切纠纷，应尽可能通过双方谈判解决。如双方不能达成协议，则提交____对外经济贸易仲裁机关仲裁。

第九条其他条件
